Terms and Conditions

Horizon Gate LLC d/b/a Prehospital Care Professionals
Effective Date: August 1 2025

1. Acceptance of Terms

By registering for, purchasing, or participating in tutoring, instruction, or related services provided by Horizon Gate LLC, doing business as Prehospital Care Professionals (“Company,” “we,” “our,” or “us”), you (“Student,” “Client,” or “you”) agree to be bound by these Terms and Conditions. If you do not agree, you may not use our services.

 
2. Services Provided

The Company provides online and/or in-person tutoring, educational preparation, and related services for emergency medical testing, professional training, and continuing education. The Company reserves the right to modify, suspend, or discontinue any service at any time with or without notice.

 
3. Eligibility

You represent and warrant that you:

  • Are at least 18 years of age, or have parental/guardian consent if under 18.

  • Are legally competent to enter into a binding agreement.

  • Will use the services for lawful purposes only and in compliance with these Terms.

 
4. Payment Terms
  • All payments for tutoring services must be made in advance unless otherwise agreed in writing.

  • Accepted payment methods may include credit card, PayPal, ACH, or other approved methods.

  • Failure to make timely payment may result in suspension or cancellation of services.

  • All fees are non-refundable except as expressly stated in these Terms.

 
5. Cancellations & Rescheduling
  • Cancellations or rescheduling must be requested more than 1 hour prior to the scheduled session to avoid penalties.

  • Cancellations made within 1 hour of the session start time will incur a $25 cancellation fee.

  • A no-show without prior notice will be treated as a late cancellation and will incur the same fee.

  • The Company reserves the right to reschedule sessions due to instructor unavailability, emergencies, or unforeseen circumstances. In such cases, no penalty will apply to the Student.

 
6. Student Responsibilities

Students agree to:

  • Attend sessions on time and prepared with necessary materials.

  • Maintain respectful and professional conduct.

  • Avoid sharing proprietary course materials with third parties.

  • Not engage in cheating, plagiarism, or misrepresentation during test preparation or tutoring.

 
7. Intellectual Property
  • All course materials, handouts, videos, and content provided by the Company remain the exclusive property of Horizon Gate LLC.

  • Students are granted a limited, non-transferable, non-exclusive license to use materials solely for their personal educational purposes.

  • Students may not reproduce, distribute, sell, or publicly display any materials without prior written consent.

 
8. Disclaimers
  • The Company does not guarantee that participation in tutoring or courses will result in passing any exam, obtaining certification, or securing employment.

  • Services are educational in nature and not a substitute for formal certification, licensure, or accredited training programs.

  • The Company is not responsible for any errors, omissions, or outcomes resulting from the use of its materials or services.

 
9. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of its services.

  • The Company’s total liability for any claim shall not exceed the amount paid by the Student for the specific service giving rise to the claim.

 
10. Indemnification

You agree to indemnify, defend, and hold harmless Horizon Gate LLC and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of your use of our services or violation of these Terms.

 
11. Confidentiality & Privacy
  • The Company respects the privacy of its Students and complies with applicable data protection laws.

  • Personal information will only be collected, stored, and used in accordance with the Company’s Privacy Policy.

  • Students agree not to record, distribute, or share tutoring sessions without prior written consent.

 
12. Termination

The Company reserves the right to suspend or terminate a Student’s access to services at its sole discretion if the Student violates these Terms, engages in misconduct, or fails to pay for services.

 
13. Governing Law & Dispute Resolution
  • These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles.

  • Any disputes shall be resolved first through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in the county where the Company is headquartered, unless prohibited by law.

 
14. Amendments

The Company reserves the right to update or modify these Terms at any time. Continued use of services after changes are posted constitutes acceptance of the revised Terms.

 
15. Entire Agreement

These Terms, along with any signed agreements, invoices, or supplemental policies (such as Privacy Policy and Cancellation Policy), constitute the entire agreement between you and Horizon Gate LLC d/b/a Prehospital Care Professionals.
